1 · Accepting these terms

Who these terms are between

These terms are between you and Capibud Inc. ("Capibud", "we", "us"). They apply when you use www.capibud.com (the "site") or any demo or trial access we give you to app.capibud.com (the "app"). By using either, you accept them. If you use them on behalf of an organisation, you confirm you may accept these terms for it.

If you or your organisation has signed a separate agreement with us, such as for a Decision Sprint, a pilot or a subscription, that agreement governs the services it covers and wins over these terms where they conflict. How we handle personal data is set out in our Privacy Policy.

2 · What the site is

General information about Capibud

The site describes Capibud's software and how it can be used. Its content, including the industry briefs, use-case guides and case studies, is general information. It is not tailored to your circumstances and is not an offer to sell anything. We publish no prices; any commercial terms are agreed in writing.

We try to keep the site accurate and current, but product capabilities, research and examples change, and some content may be out of date when you read it.

3 · No investment advice

Do not rely on the examples or demo figures

Nothing on the site or in a demo is investment, financial, engineering, legal, tax or accounting advice, or a recommendation to make, change or hold any investment or capital commitment. Capibud is not a registered investment adviser or broker.

• Examples are labelled. Illustrative examples use invented figures. Demo workspaces are composites built from public information, with names changed; they do not describe any real company's plans or results.
• Figures are estimates. Ranges such as P50 and P80, forecasts, industry baselines and scenario results are modelled estimates. They depend on assumptions and data that can be wrong or incomplete, and actual outcomes can fall outside them.
• Decisions stay yours. Make capital and investment decisions with your own judgement and qualified advisers. Do not rely on site content or demo figures to make them.

4 · Acceptable use

What you may not do

Use the site and the app lawfully and in good faith. In particular, do not:

• try to get into accounts, workspaces, systems or data you are not authorised to access, or test our security without our written permission (see our security.txt for how to report a vulnerability);
• disrupt or overload the service, or get around rate limits or access controls;
• upload malware, or content that infringes someone's rights or that you have no right to share;
• upload special categories of personal data or government identifiers into a demo or trial;
• copy, scrape or resell the app or its demo content, or use it to build a competing product;
• reverse engineer the app, except where the law allows it despite this restriction;
• misrepresent Capibud's output, for example by presenting demo figures as real results or as advice from us.

Reading, quoting and linking to public pages of the site, including by search engines and AI assistants, is welcome.

5 · Intellectual property

Who owns what

The site, the app, their software, design, text, graphics, industry packs and the Capibud name and logo belong to Capibud or its licensors. We give you a limited, revocable, non-exclusive right to view the site and to use any demo or trial access for evaluating Capibud. You may quote short passages with attribution and a link. No other rights are granted.

You keep the rights to the content you upload. You give us permission to host and process it only to provide the app to you. If you send us feedback or ideas, we may use them without obligation to you.

6 · Demo and trial access

Using the app before a contract

• We may give you demo or trial access at our discretion, for evaluation only, and may change, limit or end it at any time.
• Keep your sign-in private. You are responsible for activity under your account; tell us at once if you suspect misuse.
• Demo and trial workspaces may be reset, and their data deleted, without notice. Do not use them as your only copy of anything.
• Upload your own data only if you are entitled to, and only what you need for the evaluation.
• AI features may produce errors. Check their output before you use it; a person approves every change in the app.
• Demo and trial access is free and provided "as is", without any service level.

7 · Third-party links

Other people's sites

The site links to sources, regulators, data providers and other sites we do not control. We are not responsible for their content, availability or privacy practices, and a link is not an endorsement. Signing in with Google or Microsoft is also subject to their terms.

8 · Disclaimers

No warranties

To the extent the law allows, the site and any demo or trial access are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, fitness for a particular purpose, merchantability and non-infringement. We do not promise that they will be uninterrupted, error-free or free of harmful components.

9 · Limitation of liability

What we are responsible for

To the extent the law allows, Capibud is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or investment value, arising from your use of the site or of demo or trial access, or from relying on their content. Our total liability for any claim relating to them is limited to [one hundred US dollars (US$100)].

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence, or your rights as a consumer where they apply.

10 · Governing law

Which law applies

These terms are governed by the laws of [jurisdiction to be confirmed by counsel], and the courts of [jurisdiction to be confirmed by counsel] have exclusive jurisdiction over any dispute about them, except where the law of your country requires otherwise. If any part of these terms is unenforceable, the rest still applies. If we do not enforce a term straight away, we have not waived it.

11 · Changes

When these terms change

We may update these terms and will change the date at the top of this page when we do. Changes apply from that date. If you keep using the site or the app afterwards, you accept the updated terms. For a material change that affects people with demo or trial access, we will tell them by e-mail or in the app.
